Support Commercial Activities
My main focus is to efficiently support the commercial activities of a client's business and protecting its intellectual property. This includes drafting and negotiating commercial agreements, licences, professional service agreements, maintenance and support agreements, consultancy terms, and reseller and partner agreements, as well as maintaining templates to always meet the latest requirements. I also review documents and T&Cs presented by my client’s customers. In protecting the interests of my client, I focus on limitation of liabilities and indemnities, protection of intellectual property and adequately scoping warranties and the extent of licences as well as highlighting commercial risk, for instance price fixing, caps on potentil annual increases and long or conditional payment terms.

Key skills applied in my services include analysing contracts from a legal perspective, making recommendations and highlighting risk or exposure, negotiating contracts (either directly with the client’s customer or indirectly by advising the client in the background), drafting templates and bespoke agreements, assessing liability and appropriate insurance, protecting intellectual property, monitoring risk and advising on risk management, data protection compliance (UK, EU and US), advising on compliance with third party contract terms (e.g. open source software licence terms), record keeping and easy to use monitoring tools, source code escrow and export control compliance (mainly EU and US compliance).
